Terms and Conditions for Rochester Pallets

These Terms and Conditions ("Agreement") govern the purchase and sale of merchandise by Rochester Pallets ("Company") and the buyer ("Customer"). By purchasing goods from Rochester Pallets, the Customer agrees to be bound by the following terms and conditions.

1. Acceptance of Terms By placing an order or purchasing goods from Rochester Pallets, the Customer acknowledges that they have read, understood, and agree to the terms set forth in this Agreement. These terms apply to all transactions unless otherwise stated in writing by Rochester Pallets.

2. Goods Sold "As-Is" All merchandise sold by Rochester Pallets is sold on an “as-is, where-is” basis, with no warranties or guarantees, express or implied, regarding the condition, quality, or functionality of the goods. The Customer acknowledges that they have had the opportunity to inspect the goods or waive that right.

3. No Refunds or Exchanges Due to the nature of the goods being sold, all sales are final. No refunds, exchanges, or returns will be accepted. The Customer assumes all risk associated with the purchase of the goods, including any and all defects, damages, or non-functionality.

4. Disclaimer of Warranties Rochester Pallets disclaims all warranties, express or implied, including but not limited to, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Customer assumes full responsibility for the use, resale, or disposal of the goods.

5. Limitation of Liability Rochester Pallets shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of profit, revenue, or business opportunities arising from the purchase or use of the goods, even if advised of the possibility of such damages.

6. Non-Liability for Losses The Customer acknowledges that due to the nature of liquidation and pallet sales, there may be unpredictable variations in the condition, completeness, or quality of the goods. Rochester Pallets is not liable for any losses (financial, material, or otherwise) resulting from the purchase or use of the merchandise. This includes, but is not limited to, losses from defective, damaged, or incomplete goods.

7. Indemnification The Customer agrees to indemnify, defend, and hold Rochester Pallets harmless from any claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising from the purchase, use, or resale of the goods.

8. Assumption of Risk By purchasing from Rochester Pallets, the Customer assumes full responsibility for assessing the risks associated with the use, resale, or disposal of the goods. Rochester Pallets is not responsible for ensuring the suitability or safety of the goods for any specific purpose.

9. Inspection of Goods The Customer acknowledges that they have had the opportunity to inspect the goods prior to purchase or have waived the right to such inspection. Rochester Pallets encourages all Customers to inspect the goods prior to finalizing any transaction.

10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts located in New-York.

11. Severability If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the Agreement, and the remaining provisions shall remain in full force and effect.

12. Entire Agreement This Agreement constitutes the entire understanding between Rochester Pallets and the Customer with respect to the purchase and sale of goods. No oral or written statements or representations not contained herein shall have any force or effect.

By completing a purchase with Rochester Pallets, you acknowledge and agree to these Terms and Conditions.
